Terms of Use

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services. By using the Services, you represent that you meet these requirements and will comply with these Terms and all applicable laws.

2. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms and update the effective date. Your continued use of the Services after revised Terms take effect constitutes acceptance of the changes, to the extent permitted by law.

3. Use of the Services

We grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose, subject to these Terms. You are responsible for complying with laws that apply to your use.

We may modify, update, suspend, limit or discontinue all or part of a Service. We may require software updates to maintain functionality or security. We are not responsible for losses resulting from a change or interruption except where liability cannot lawfully be excluded.

“User Content” means text, images, audio, video, messages, profile information or other material you submit through a Service. You retain ownership of your User Content. You grant Linkup a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, display, communicate and otherwise use User Content only as reasonably necessary to operate, improve, secure and promote the Services, subject to applicable law and our Privacy Policy.

You represent that you have the rights needed to submit your User Content and that it does not violate law, these Terms or another person’s rights. You are responsible for your User Content and the consequences of sharing it. Feedback about our products or services may be used by us without restriction or compensation, unless prohibited by law.

6. Acceptable Use

You must not use the Services to:

• post, transmit or promote illegal, fraudulent, hateful, threatening, harassing, sexually exploitative or otherwise harmful content;
• impersonate another person, misrepresent your identity or infringe intellectual property, privacy, publicity or other rights;
• share another person’s personal information without authorization;
• spam, phish, distribute malware, advertise without permission or promote illegal goods or services;
• harvest personal information or use automated means to access the Services without authorization;
• interfere with, damage, overload, reverse engineer or attempt unauthorized access to the Services; or
• circumvent moderation, security, access controls or account restrictions.

We may use automated tools and human review to detect violations where appropriate. Users should use available reporting and blocking tools and should stop an interaction if it feels unsafe.

7. Moderation and Enforcement

We may review, restrict, remove or preserve content and may warn, suspend or terminate accounts when we reasonably believe these Terms, our policies or applicable law have been violated, or when action is needed to protect users, the Services or others. We do not guarantee that all objectionable content will be identified or removed immediately.

8. Third-Party Services

The Services may include links, advertisements or integrations provided by third parties. Linkup does not control and is not responsible for third-party content, products, availability, privacy practices or terms. Your use of a third-party service is governed by your agreement with that provider.

9. Intellectual Property

The Services, including their software, design, graphics, branding and company-created content, are owned by or licensed to Linkup and are protected by intellectual property laws. Except for the limited right expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, distribute, sell, lease or create derivative works from the Services without prior written authorization or another lawful basis.

10. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, misuse the Services, or if continued operation is no longer commercially or legally practicable. Upon termination, your right to use the affected Service ends. Provisions that by their nature should survive termination will remain in effect.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Linkup disclaims all express, implied and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. We do not guarantee the conduct of other users or the accuracy, safety or legality of user or third-party content.

12. Limitation of Liability

To the fullest extent permitted by law, Linkup and its directors, officers, employees, affiliates and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, data, goodwill or business opportunity arising from or related to the Services. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Linkup and its directors, officers, employees and affiliates from claims, losses, liabilities and reasonable costs arising from your unlawful use of the Services, your User Content or your material breach of these Terms.

14. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a reorganization, merger, acquisition or sale of assets.
